1.0 General

This website is owned and operated by Demiprism, LLC. These terms and our Privacy Policy apply to every aspect of our website, which includes but is not limited to; All products, content, applications, software, and digital goods offered through our website, as well as UGC (User Generated Content) submitted through our website or to Demiprism through any other third-party website or social media platform.

We make no representation that our website or services are available in other locations other than where it is operated (United States of America, Iowa). If any person, or entity, chooses to access our site and/or services from other locations then they recognize and accept that they are doing so of their own initiative and are solely responsible for compliance with any regulations or laws they must adhere too and their access and/or use of our website or services will not subject Demiprism to any obligations or requirements based on the user’s jurisdiction.

Minors

All users who are considered minors in the jurisdiction they live in (typically under the age of 18) must have the permission of their guardian or parent to use our website and/or services. If you qualify as a minor, you are not authorized to use our website until after your parent or guardian has read through the entirety of our Terms and Privacy Policy and agrees to be bound by them.

If you are the legal guardian or parent of a child under the age of 13 and are aware that they have provided us with personal information without your consent, please contact us. We will take steps to remove that information from our collection. 

If the jurisdiction that you live in has additional requirements for minors to be authorized to interact with us as visitors and/or customers then you must ensure that these requirements are met before interacting with us in any additional capacity.

 

By continuing to access our website or services through our website you accept and agree to be bound by this agreement. If you do not agree to abide by this agreement, or to any modifications that we may make in the future regarding this agreement, then do not use or access (or continue to use or access) our website or services.

 

2.0 Website Management

Our website and website service, eCommerce Store and website membership accounts, are provided on an “as is” basis and without warranties of any kind. We reserve the rights but are not under any obligation to:

• Monitor the website for violations of this agreement

• Remove, reclaim, or change a user name that you select at our full discretion and without notice or explanation.

• Refuse, restrict access to or availability of, lock, and/or remove any user generated content or contribution without warning and without seeking permission if we believe it may violate this agreement or any laws that Demiprism, LLC must adhere too.

• Remove, or otherwise disable, any files or content that are burdensome to Demiprism’s systems without limitation, notice, or liability and at our sole discretion.

• Take appropriate legal action at any time and against anyone at our sole discretion if we believe this agreement has been violated and can report user information to law enforcement authorities

• Otherwise manage the website in a manner designed to protect the rights and property of Demiprism and others and to facilitate the proper functioning and availability of the website.

 

3.0 Modification To Agreement

We reserve the right to change this agreement from time to time. For simple changes that don’t really alter our agreement in any meaningful way we will simply update the document at our discretion along with the date on this page without any notice. Outside of those simple changes we’ll try and alert you to pending updates to the agreement by putting an update near the menu header of the website that’ll link to a preview of the changes and when they’ll go into effect. You agree to be bound to any changes made to this Agreement after any such modification becomes effective. It is therefore important that you periodically check this website for updates made to this agreement and that you are reviewing this agreement when prompted by us indirectly or directly (such as my linking to it when using our shop).

 

4.0 Modification to services and/or products

We may, without prior notice, change the website services and/or products offered through these services; stop providing these services/products or any features of these services/products we offer; or create limits for these services/products. We may permanently or temporarily terminate or suspend access to these services/products without notice and liability for any reason, or for no reason.

 

User Representation

After agreeing to our Terms and Conditions and Privacy Policy you will be authorized to use our website and website services for non-commercial purposes. These services will include the opportunity to create a member account, use our eCommerce shop, and as a member interact with our blog posts by leaving comments and posting limited reviews on our products.

By using the websites membership account and/or eCommerce shop, whenever applicable you represent and warrant the following: 

• All information you submit to us is truthful and accurate

• You are not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use our website and services and will not circumvent this process

• You will never share your membership information with anyone else and will keep your password confidential. You will be responsible for all usage of your password and account

• You will maintain true, accurate, current, and complete accuracy of your account information and will not hold Demiprism liable to any incorrect or outdated information

• Your usage of our services does not violate any applicable law or regulation.

 

If we suspect that the information you have provided is untrue, inaccurate, or violates this agreement in any way we reserve the right to suspend or terminate your account and at our discretion can refuse to permit your usage of our website, services, and/or any portion or sections of the same. We are not obligated to inform you prior to making these decisions and can apply these changes immediately for any length of time up to and including into perpetuity.

 

5.0 Promotional emails and marketing

We may contact you for marketing purposes. Such as soliciting your opinion through surveys or questionnaires, sharing product announcements or newsletters, and so on. You will not receive marketing related messages from us unless you have provided us explicit consent to do so. This is achieved by filling out and submitting the form on our website that governs this process.

 

6.0 Prohibited Activities

You may not access our website or our website services for any other purpose other than what Demiprism makes available. The website, website services, products, and content may not be used in connection with any commercial endeavors except those that are specifically endorsed and/or approved by Demiprism. Prohibited activities include, but are not limited to:

• Infringing on any person or entities intellectual property rights.

• Using any of our copyright material with any generative AI technology in any direct or indirect manner.

• Recreate or reproduce our products or contents or use them (wholly or partly) in any commercial pursuits or activities or the development of commercial pursuits or activities.

• Making any attempt, regardless of success, in deciphering, decompiling, disassembling or reverse engineering any of the applications or software that make up the website and/or website services.

• Making any attempt to exploit, circumvent, or alter our Policies, Disclaimers, and/or Terms and Conditions

• Interfering with, disrupting, or creating any sort of undue burden on the website, the services on the website, and/or the network the website uses.

• Selling or otherwise transferring your account membership and/or sharing access to your account membership.

• Attempting to bypass any restrictions or measures used by the website, or Demiprism, which are designed to prevent and/or restrict access to the website, website services, or any portion of the website or website services.

• Attempting to impersonate, or falsely claim representation of, another user or entity in any capacity and regardless of whether it was done implicitly or explicitly.

• Harassing, annoying, intimidating, or threatening any person affiliated with Demiprism who may, or may not, be involved in providing any portion of the website services to you.

• Using any information obtained from the website and/or website services to harass, abuse, or harm another person or entity.

• Tricking, defrauding, and/or misleading any person affiliated with Demiprism and any of their website account members or eCommerce shop customers, especially in any attempt to learn private/sensitive information.

• Making any unauthorized use of our website and/or website services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses 

• Engaging in any criminal or tortious activities.

 

7.0 Website store

By using our store, and its payment options, you agree to pay Demiprism the amount owed for any products that you are purchasing through this service. The prices listed for the products will not include sales tax, shipping, or any other relevant fees. Our Products, along with these additional prices, make up your order with us. When you are ready to complete your order, you will initiate the ‘check-out’ process in our store.

You must be legally authorized to provide the method of payment that will be used you’re your order and be able to enter into a binding contract with us. Additionally, you must attest to your understanding and agreement with our Terms and Conditions. During the check-out process, there will be two check-boxes where you must provide explicit confirmation and agreement with these two items or you will not be allowed to proceed with your order.

After providing this explicit agreement, you will also provide us with the required personal information for fulfilling your order which will include your Full Name, Address, and Email, at this final stage your total may change based on your location as taxes, shipping, and other relevant fees are calculated. By providing your payment method information and submitting the order you conclude the check-out process and will receive acceptance of your order.

 

8.0 Payment Terms

We allow several different payment methods on our website by integrating with the Wix Payments application. You can pay with a variety of Credit/Debit Cards such as: Visa, Mastercard, Discover, Amex, ChinaUnionPay, Jcb, Diners, CartesBancaires, Electron, and Maestro

 

For your convenience, you can also pay using PayPal, Apply Pay and Google Pay too.

 

9.0 Return and Refund Policy

As a small business we hope that you understand that we want to make you, the customer, happy but we may not always be able to accommodate return or refund requests regardless of circumstance. However, we want to have the opportunity to try and find a way to help you and, if possible, get you a replacement or refund or see if we can find a way to offer you some form of support.

In all instances where a return or refund is desired, you must first reach out to us through email within 14 days of the date the product was delivered. If the product is delivered and being held at a pick-up location then this constitutes delivery. 

Note: If you send the product back without first contacting us a replacement or refund will not be possible.

Please mention in the subject line that you are having an issue with your order and include all relevant information within the body of the email (Especially order details, dates, descriptions, and pictures).

9.1 Return/Refund Disclaimers

While we do reserve the right to refuse returns and/or refunds at our sole discretion, we also want to be as up front and open as possible about a few points.

​

• If the package you ordered is lost in transit (undelivered) we will do our best to get you a replacement, at no additional expense to you, sent out as soon as possible. 

• If an order is returned to the sender (or shipment facility) because an incorrect address was provided we are willing to send you a replacement order but you will be liable for reshipment costs once we have the confirmed updated address.

• If the product is open (unsealed) we will not be able to proceed with a return or refund unless the product is misprinted/damaged/defective upon arrival. Pictures of the packaging and product are required.​​

• Unfortunately, we cannot provide a replacement for size exchange requests.

• Digital products are not eligible for returns/refunds/exchanges.

• Buyer's remorse is not a valid justification for a return or refund.

If, after connecting with us, we agree that we can proceed with a return/refund/exchange, then you must include all components, accessories, and packaging (along with the original receipt, or gift receipt) within 5 days of our confirming that we can proceed. We will provide additional details about the return process at that time.

10.0 Disclaimer – rights to change prices

The prices we charge for our products are listed on the website. Additional prices, such as applicable taxes and shipping fees, are calculated during the check-out process and will be available for your consideration and review at that time and prior to completing your order.

We reserve the right to change our prices for products displayed at any time, and to correct pricing errors that may inadvertently occur even if it has already requested or received payment. All payments shall be in U.S. dollars.

 

11.0 Warranty and responsibility for services and products

When we receive a valid warranty claim for a product purchased from us, we will either repair the relevant defect or replace the product. If we are unable to repair or replace the product within a reasonable time, the customer will be entitled to a full refund upon the prompt return of the product to us.

 

The customer will be responsible for paying the costs to return the shipment of the product to us and we will pay for shipment of repaired or replaced products to be sent to the customer. In the event a full refund is offered, the return shipment cost paid by the customer to send us the product will include the refund amount we would have paid to ship the repaired or replaced product back to them. Demiprism will not reimburse the exact shipping cost paid by the customer in these situations.

12.0 Regarding User Generated Content (UGC) you provide

By posting content to any part of our website, through your membership account, responding to or sending us emails, responding to surveys, participating in any events or tests regardless of their being private or open events or tests, qualifies as User Generated Content that you are willfully contributing to Demiprism.

By making such content accessible to the website you warrant that you have full authorization to use and provide this material and are granting Demiprism, LLC an unrestricted, unconditional, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide right and license to your User Generated Content.

This license grants Demiprism permission to freely use, edit, modify, copy, reproduce, disclose, archive, store, and to grant sub/licenses to this content without requiring any approval or providing any credit. It also grants them the rights to use this content, create derivative works, incorporate them in whole or in part, without limitation, in any commercial, advertising, and/or distribution efforts and endeavors without restriction.

The use and distribution may occur in any media formats and through any media channels. Such use and distribution license will apply to any form, media, or technology now known or hereafter developed.

Providing UGC, and thus granting Demiprism this license, does not imply or establish any other permissions or rights to the user and is limited in scope exclusively to the content. There is no implied partnerships and the user is not authorized to act as our representative in any capacity.

Demiprism has the right, in our sole and absolute discretion, to edit, redact, delete, relocate, or otherwise change any content contributed by the user and such modifications will not void or nullify the license provided to us as outlined above. We are under no obligation to use the content and any usage of the content, in any capacity, will not imply any sort of agreement with the user.

If the content contains any type of legally binding language, promise, warranty, declaration of retained rights, guarantee, or similar material that attempts to grant the user any additional rights, ownership, control, or permissions would be considered prohibited activity as outlined in the prohibited activities section and will not be recognized by Demiprism and may result in legal action from Demiprism against the user.

 

13.0 No Endorsement, Third-Party Links, and Affiliate Disclaimer

Some links on our website and blog posts may lead to other third-party websites or content. These links are provided as a convenience, reference, and/or because we believe they might be helpful or useful and do not imply approval or endorsement by us or establish, or initiate any form of assignments, agreements, or guarantees.

We do not monitor or check for third-party accuracy, appropriateness, or completeness and are not responsible if you decide to leave our website and access the third-party’s website, application, and/or service. We claim no liability around a third-party’s reliability, privacy practices or other policies, website, products, services, applications, information, accuracy, offensiveness, opinions, users, or owners found there. We do not maintain or control these sites and accordingly make no guarantee concerning their reliability, accuracy, availability, or practices.

You may terminate your use or participation at any time, for any reason, by following the instructions for terminating user membership accounts in your account settings, if available, or by contacting us using the contact information below. 

 

WITHOUT LIMITING ANY OTHER PROVISION OF THIS AGREEMENT, DEMIPRISM RESERVES THE RIGHT TO, IN DEMIPRISM’S SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE WEBSITE, PRODUCTS AND WEBSITE SERVICES, TO ANY PERSON FOR ANY REASON OR FOR NO REASON AT ALL, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY OR COVENANT CONTAINED IN THIS AGREEMENT, OR OF ANY APPLICABLE LAW OR REGULATION, AND DEMIPRISM MAY TERMINATE YOUR USE OR PARTICIPATION IN THE WEBSITE AND THE WEBSITE SERVICES, DELETE YOUR USER MEMBER ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU HAVE POSTED OR SHARED AT ANY TIME, WITHOUT WARNING, IN DEMIPRISM’S SOLE DISCRETION. 

 

In order to protect the integrity of the website, website services, and products, Demiprism reserves the right at any time in its sole discretion to block certain IP addresses from accessing the website and website services.

YOU UNDERSTAND THAT CERTAIN STATES ALLOW YOU TO CANCEL THIS AGREEMENT, WITHOUT ANY PENALTY OR OBLIGATION, AT ANY TIME PRIOR TO MIDNIGHT OF DEMIPRISM’S THIRD BUSINESS DAY FOLLOWING THE DATE OF THIS AGREEMENT, EXCLUDING SUNDAYS AND HOLIDAYS. TO CANCEL, EMAIL DEMIPRISM DURING NORMAL BUSINESS HOURS USING THE CONTACT INFORMATION PROVIDED BELOW IN THIS AGREEMENT OR BY ACCESSING YOUR ACCOUNT SETTINGS. THIS SECTION APPLIES ONLY TO INDIVIDUALS IN STATES WITH SUCH LAWS.

 

If Demiprism terminates or suspends your account for any reason, you are prohibited from registering and creating a new account with them under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, Demiprism reserves the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

 

16.0 Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Demiprism, LLC or its officers, agents, partners and employees be liable to you or any third-party for any direct, indirect, punitive, incidental, special, consequential or exemplary damages, including without limitation, damages for lost profits, lost revenue, loss of data, lost goodwill, or other damages or intangible losses, arising from your access or use, or inability to access or use, our website, website services, or products, even if Demiprism has been advised of the possibility of such damages.

Demiprism assumes no liability or responsibility for any errors, mistakes, or inaccuracies of content; personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our website, website service, and/or products; and any unauthorized access to or use of our secure servers and/or any and all personal information stored therein.

Notwithstanding anything to the contrary contained herein, Demiprism’s liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to Demiprism for the website service or product during the period of 4 months prior to any cause of action arising.

Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not be applicable for you, and you may have additional rights.

If you are a California resident, you waive California civil code section 1542 which says:

“A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.”

 

17.0 Indemnity

You agree to defend, indemnify and hold Demiprism, LLC and their respective officers, agents, partners and employees, harmless from and against, any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of your contributed content, use of our website services, and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above. Notwithstanding the foregoing, Demiprism reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify Company, and you agree to cooperate, at your expense, with Company’s defense of such claims. Company will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

 

18.0 NOTICES

Except as explicitly stated otherwise, any notices given to Demiprism shall be given by email to the electronic address listed in the contact information below.

Any notices given to you shall be given to the email address you provided during the registration process, or such other address as each party may specify. Notice shall be deemed to be given twenty-four (24) hours after the email is sent, unless the sending party is notified that the email address is invalid. We may also choose to send notices by regular mail.

 

19.0 Preference of Law and Dispute Resolution

These Terms, the rights and remedies provided hereunder, and any and all claims and disputes related hereto and/or to the services, shall be governed by, construed under and enforced in all respects solely and exclusively in accordance with the internal substantive laws of United States / Iowa, without respect to its conflict of laws principles.

In the event of a claim or dispute the offended party may bring this up with Demiprism in good faith and with the intention of resolving them amicably. The complaint, including a brief description and (if applicable) and relevant details such as order, purchase, or account information, should be send to the email address provided in the contact us section of this policy.

Demiprism will acknowledge and process the complaint without undue delay and within 21 days of receiving it. Resolving the complaint may take additional time based on circumstances and expectations.

​

If amicable resolution does not resolve the complaint, then any and all such claims and disputes shall be brought in, and you hereby consent to them being decided exclusively by a court of competent jurisdiction located in the United States, specifically in Ankeny, Iowa. The application of the United Nations Convention of Contracts for the International Sale of Goods is hereby expressly excluded.

 

Disputes Between Users and/or any third party

If there is a dispute between users of the Sites, or between users and any third party, you understand and agree that Demiprism is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release Demiprism, its officers, employees, agents, partners and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or our website services/products.

 

20.0 Testimonial Disclaimer

Every person is unique and it’s important that to recognize that testimonials, good or bad, are from real people who have their own preferences, experiences, bias, and expectations. Testimonials do not imply or represent typical results.

If a testimonial is shared, and was the result of us paying or compensating that individual for their time and opinion, then it will be disclosed within the testimonial for your awareness. If we are invited to provide a testimonial for a Third-Party then we will align to these standards, at a minimum, as well.

 

21.0 Past Performance Disclaimer

We do not guarantee any specific results or outcomes based on the use of our products, material, or information provided on this website.

 

22.0 Changes and Updates:

We reserve the rights to update, modify, or remove any information on this website and for our products and material without prior notice and at our sole discretion.

Any substantial changes made to our Terms and/or Policies pages will be disclosed at least two weeks prior to their implementation. Non-substantial changes would consist of spelling, grammar, formatting, layout and design, and minor clarifications that do not alter the agreement. To help you find and preview these changes we will post a link just below our header on our website which will include the date they go into effect.

If the changes made require you to explicitly accept or opt-in for the changes then we will address that on a case-by-case basis and make reasonable decisions on how we can move forward with implementing the changes and informing you in the least disruptive way possible.

 

23.0 Miscellaneous

This Agreement constitutes the entire agreement between you and Demiprism regarding the use of the website, website services, and products. It will supersede and replace any other agreement or understanding, in any medium, between you and Demiprism with respect to the subject matter of this agreement. This Agreement and your membership account may not be assigned by you without our express written consent. Demiprism may assign any or all of its rights and obligations to others at any time. There is no partnership, joint venture, employment or agency relationship created or implied between you and Demiprism as a result of this Agreement or use of the website, website services, and products. The failure of Demiprism to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. This Agreement operates to the fullest extent permissible by law. Demiprism shall not be responsible or liable for any loss, damage, delay or failure to act caused by any cause beyond Demiprism's reasonable control. If any provision or part of a provision of this Agreement is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from this Agreement and does not affect the validity and enforceability of any remaining provisions.

Upon Demiprism’s request, you will furnish Demiprism any documentation, substantiation or releases necessary to verify your compliance with this Agreement. You agree that this Agreement will not be construed against Demiprism by virtue of having drafted them.

You hereby waive any and all defenses you may have based on the electronic form of this Agreement and the lack of signing by the parties hereto to execute this Agreement.
